Can Your Dubai Employer Enforce a Non-Compete Clause? What UAE Law Says
Joining a competitor in Dubai? UAE law caps non-compete clauses at two years and gives you several ways out. Here is when an employer can enforce one.

A Dubai employer can only enforce a non-compete clause if you had access to its customers or business secrets, and the restriction can never run for more than two years after your contract ends. That is the answer a Dubai lawyer gave a mainland employee planning to join a rival firm, in a legal column published by Khaleej Times in October 2026.
If you are weighing an offer from a rival, UAE law limits these clauses, gives you several exits and puts the burden of proof on the employer.
What a non-compete clause in Dubai can cover
For mainland companies, the rules are in Article 10(1) of Federal Decree Law No. 33 of 2021, the UAE Employment Law, and in Cabinet Resolution No. 1 of 2022, which implements it.
Under Article 10(1), an employer may add a non-compete clause only where the job gives the employee access to its customers or business secrets. The clause must:
- name the place it covers
- set a time limit
- describe the type of work restricted
- go no further than needed to protect the employer's legitimate business interests
In every case, the restriction cannot exceed two years after the employment ends. Before you sign anything new, our UAE Employment Contract Guide: 10 Essential Checks Before Signing | JobXDubai explains what else to look for.
When the non-compete clause does not apply
- Unlawful termination. Under Article 10(2), if your employer ends your contract in breach of the law, the non-compete is nullified.
- Written agreement. Article 12(4) of the Cabinet Resolution allows both sides to agree in writing that the clause will not apply after the contract ends.
- Buying your way out. Under Article 12(5), you or your new employer can pay the former employer compensation of no more than three months of your last contracted wage. The former employer's written consent is required.
- Probation. The clause does not apply if the contract is ended during the probationary period.
- Exempt professions. The Ministry can exempt certain professional categories.

What your employer has to prove in court
Joining a competitor does not automatically mean you owe anything. Under Article 12(2) of the Cabinet Resolution, if the dispute is not settled amicably, it goes to the courts, and the employer carries the burden of proving the damage it claims.
In practice, the lawyer said, your former employer must show that you now work for a competitor and that this caused it financial loss or damage. Only then could the court order compensation, in an amount it decides.
Time is also limited. Under Article 10(3), a claim over a non-compete breach will not be heard if one year has passed since the employer discovered the violation.
Practical steps before you accept a rival's offer
- Check whether the clause names a place, a period and a type of work.
- Ask whether your role really gave you access to clients or confidential information.
- Try to agree a written waiver before you resign.
- If that fails, ask your new employer about paying the compensation of up to three months' wage, with your current employer's written consent.
- Keep copies of every agreement, then browse current Dubai jobs knowing where you stand.
Key takeaway
A Dubai non-compete clause must be limited in place, time and type of work, and cannot exceed two years. It falls away after unlawful termination, during probation or by written agreement, and an employer that sues must prove real damage.
