UAE non-compete clauses: when employers can stop your next job

A UAE non-compete clause is not automatically valid. Here is the 2-year limit, what employers must prove, and when workers can dispute broad restrictions.

A UAE non-compete clause can stop some employees from joining a competitor or starting a rival business after they resign, but only if the restriction is clear, limited and tied to a real business interest, according to a Khaleej Times legal explainer published on 2 November 2026. For workers, that means a clause in your contract is not automatically enforceable just because you signed it.

The explainer answered a question from an employee of a mainland employer in Dubai and cited Federal Decree Law No. 33 of 2021 on the Regulation of Employment Relations, plus Cabinet Resolution No. 1 of 2022.

When a UAE non-compete clause can apply

Under Article 10(1) of the Employment Law, an employer may include a non-competition clause if the employee’s work gives them access to the employer’s customers or business secrets.

That clause can be used to stop the worker from competing in the same sector after the contract ends. But the law says the restriction must be only as wide as needed to protect the employer’s legitimate business interests.

In other words, the purpose is to protect clients or confidential business information. It should not work as a blanket block on someone earning a living.

What makes a UAE non-compete clause enforceable

According to the Khaleej Times explainer, Article 10(1) of the law and Article 12 of Cabinet Resolution No. 1 of 2022 set out the main tests.

Requirement What the rule says
Duration The restriction must not last more than 2 years from the termination or expiry of the contract.
Geographical scope The contract must state the area where the restriction applies.
Nature of work The clause must identify the kind of work being restricted.

The 2-year period is the legal maximum, but that does not mean every 2-year clause will be upheld. The duration still needs to be proportionate to the business interest the employer is trying to protect.

The same applies to location and job scope. A restriction covering an overly broad territory, or a ban on any job in the same industry regardless of the worker’s actual role, may be disputed.

If a disagreement ends up in court, Article 12(2) says the employer carries the burden of proving the damage suffered and the amount of that damage.

When workers can challenge a UAE non-compete clause

Employees may dispute a non-compete if it does not clearly define the duration, geographical area or nature of the restricted work. They may also challenge it if it goes further than needed to protect the employer’s legitimate interests.

The explainer also points to cases where the clause can fall away completely. Under Article 10(2), a non-compete is null if the employer terminates the contract in violation of the law.

Article 12(3) adds another point: the non-compete does not apply if the contract is ended at the employer’s will, or because the employer breached its legal or contractual duties.

There are also exemptions under Article 12(5). These include:

  • termination during the probation period
  • employment under specified professional categories exempted under applicable ministerial provisions
  • a compensation arrangement where the employee or the new employer pays the previous employer a sum not exceeding 3 months’ wages under the last contract, provided the former employer gives written approval

What to check before signing a contract with a UAE non-compete clause

Before signing, workers should read the clause line by line and make sure it is specific.

Check these points:

  • the exact duration of the restriction
  • the geographical area covered
  • the type of work that is restricted
  • whether the clause matches your actual duties and client contact
  • whether you had access to confidential business information
  • whether it stops you from your whole profession, or only specific competing activities

If the wording looks too broad, ask for clarification or try to negotiate narrower terms. The explainer also says employees may consider asking for a written provision that excludes the non-compete on termination, if the employer agrees.

Do not stop at the non-compete alone. Review any confidentiality, non-solicitation and intellectual property clauses too, because they may continue separately.

Key takeaway

A UAE non-compete clause has to be specific, proportionate and linked to a legitimate business interest. The maximum period is 2 years, and in a court dispute the employer must prove both the damage and its value.

For employees, the safest step is to review the wording before signing and again before resigning. A broad clause is not automatically enforceable just because it appears in the contract.

FAQ

Can my employer in the UAE stop me joining a competitor after I resign?

Yes, but only in some cases. According to the Khaleej Times explainer, the clause must be connected to work that gave you access to customers or business secrets, and it must be limited to what is needed to protect the employer’s legitimate interests.

How long can a non-compete clause last in the UAE?

The legal maximum is 2 years after the contract ends. But a 2-year term is not automatically valid, because the period still has to be proportionate.

Can I challenge a non-compete clause that is too broad?

Yes. The explainer says workers may dispute a clause if it does not clearly state the duration, geographical area or nature of the restricted work, or if it is wider than necessary.

Does a non-compete still apply if my employer breaches the law?

Not always. Article 10(2) says the clause is null if the employer terminates the contract in violation of the law, and Article 12(3) says it does not apply where the contract is ended at the employer’s will or because of the employer’s legal or contractual breach.

What should I check before signing a contract with a non-compete clause?

Check the time limit, the place it covers and the exact work it restricts. You should also review whether it fits your real job duties and whether other clauses, such as confidentiality or non-solicitation, continue even if the non-compete does not.
